These Terms of Service ("Terms") are an agreement between you and Wayfinder Clinic, Co ("Wayfinder," "we," "us") governing your use of joinwayfinder.com and the Wayfinder platform (the "Services"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you use the Services for an organization, such as a case management agency or provider agency, you also agree to these Terms on behalf of that organization ("your organization") and confirm that you are authorized to do so. If you are a member or family member, you use the Services for yourself or for the member you represent.
1. Other agreements
Our Privacy Policy and AI & Media Policy are part of these Terms. Case management agencies and other organizations that have a separate written agreement or Business Associate Agreement with Wayfinder ("Customers") are governed by that agreement where it conflicts with these Terms. Updates to these Terms do not amend a Customer's written agreement.
2. Eligibility and accounts
You must be 18 or older to create an account. A member's parent, legal guardian, or authorized representative may create and manage an account to act on the member's behalf.
You must provide accurate information and keep it current. Each account is for one person; do not share login credentials. You are responsible for activity under your account, and your organization is responsible for the accounts of its users. Notify us promptly at hello@joinwayfinder.com of any unauthorized use.
3. Acceptable use
You may not: (a) use bots, scripts, scrapers, browser automation, AI agents, or other automated means to access, monitor, or interact with the Services, except through APIs Wayfinder provides to you under a written agreement; (b) reverse engineer, copy, or resell the Services; (c) attempt to bypass security or access data you are not authorized to see; (d) upload malicious code; (e) use the Services for any unlawful purpose; or (f) violate our AI & Media Policy.
4. Case managers
If you use the Services for a case management agency, you must:
- use the Services only to perform your case management duties;
- enter only the minimum member information needed for a request, and keep names, contact details, and other identifiers out of RFP text;
- share RFP responses and other member information only with the member, their authorized representatives, and others permitted by your agency's policies and applicable law; and
- review and approve any AI-drafted documentation before using it, as described in Section 11.
You remain responsible for your own professional judgment and decisions.
5. Provider agencies
Accurate profiles. Your profile, listed services, service areas, and capacity must match your current Medicaid provider enrollment, licenses, and certifications. You may only respond to RFPs for services you are currently enrolled and qualified to provide. You must update your profile within ten (10) business days of any change.
Prohibited conduct. You may not: (a) list services, credentials, locations, or capacity you do not have; (b) respond to RFPs for services you are not enrolled to provide; (c) use bots, scripts, browser automation, AI agents, or other automated means to access, monitor, or respond to RFPs; (d) use AI to generate RFP responses, except as permitted by our AI & Media Policy; (e) share login credentials; or (f) otherwise mislead case managers, members, or families.
Member information. Use member information you receive through Wayfinder only to evaluate, respond to, and deliver the services requested, and protect it as required by HIPAA and other applicable law.
Verification. We may request documentation of your enrollment, licenses, or certifications at any time and may restrict your account until it is provided. We may cross-check your profile against public Medicaid enrollment data.
6. Members and families
You choose what information to share through Wayfinder. Share health or personal information about a member only if you are the member or are authorized to act for them. Wayfinder does not decide which services you receive or which provider you choose; you make those decisions with your case manager. For questions about your services or eligibility, contact your case management agency.
7. Enforcement
We may, at our sole discretion and with or without prior notice, take any of the following actions for a violation of these Terms: issue a warning; remove or edit content; restrict RFP access; temporarily suspend an account; or permanently remove an organization and its affiliates from the platform. We may consider the severity of the conduct, prior warnings, and risk to members. Repeat violations, or violations after a warning, may result in permanent removal. For Customers, suspension and termination are also governed by their written agreement.
Notice to case management agencies. We may inform case management agencies that use Wayfinder that a provider agency's account has been restricted, suspended, or removed.
Reinstatement. You may request review of an enforcement action by emailing hello@joinwayfinder.com within thirty (30) days. Reinstatement is at our sole discretion.
8. Your content
You retain ownership of the content you submit, including profiles, media, and RFP responses. You grant Wayfinder a non-exclusive, royalty-free license to host, display, and process that content to operate the Services. We may use content that is not PHI, or that has been de-identified, to improve the Services, as permitted by any written agreement with your organization. You are responsible for the accuracy of your content and for having the rights to submit it.
9. Protected health information
Case managers and provider agencies may enter protected health information into the Services only as permitted by their organization's agreements with Wayfinder and applicable law. Members and families may share their own information, or information about a member they represent; we handle it as described in our Privacy Policy. Do not enter health information into fields not intended for it, such as public profiles or support chats.
10. No referral guarantee or endorsement
Wayfinder does not guarantee referrals, placements, or RFP outcomes. A listing on Wayfinder is not an endorsement of any provider. No one can pay for directory placement, RFP access, or the order in which RFP responses are shown.
11. AI features
AI features, described in our AI & Media Policy, produce summaries, scores, commentary, transcripts of dictated notes, and drafts that may be inaccurate or incomplete. AI output is provided "as is." You must review AI output before relying on it, and you must review and approve any AI-drafted documentation before using it. You and your organization are responsible for any content you copy into another system, including the Care and Case Management (CCM) system. Do not rely on AI output for clinical or eligibility decisions.
12. Not a provider of care
Wayfinder is a technology platform. We do not provide case management, clinical, or eligibility services, and we do not make care decisions. Case managers, providers, members, and families remain responsible for their own professional judgment and decisions.
13. Fees
Wayfinder is free for provider agencies, members, and families. Fees, renewal, and cancellation terms for case management agencies are set out in each agency's written agreement with Wayfinder.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WAYFINDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES OR ANY PROVIDER INFORMATION WILL BE ACCURATE, COMPLETE, OR UNINTERRUPTED.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WAYFINDER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR REFERRALS. WAYFINDER'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID WAYFINDER IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR ONE HUNDRED DOLLARS ($100). A CUSTOMER'S WRITTEN AGREEMENT CONTROLS WHERE IT ADDRESSES LIABILITY.
16. Indemnification
If you use the Services for an organization, your organization will indemnify and hold Wayfinder harmless from claims, losses, and expenses, including reasonable attorneys' fees, arising from its content, misuse of the Services, violation of these Terms, or unauthorized use or disclosure of PHI by its users. Individual users, including case managers and provider agency staff, are not personally responsible under this section. For Customers, indemnification is governed by their written agreement. This section does not apply to members or families using the Services for themselves or a member they represent, or to a public entity to the extent prohibited by law.
17. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access as described in Section 7 or if required by law. Sections 8, 9, and 11 through 18 survive termination.
18. General
These Terms are governed by the laws of the State of Colorado. Unless a Customer's written agreement provides otherwise, any dispute will be brought in the state or federal courts located in Denver County, Colorado. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may update these Terms by posting a new version and, for material changes, notifying account holders before the changes take effect; continued use after that date means you accept the updated Terms.
